What's New: Tokić Group launches public offering of shares

NOTICE

This notice has been prepared in accordance with Article 22 of Regulation (EU) 2017/1129 and Articles 13 to 16 of the Commission Delegated Regulation (EU) 2019/979.

“TOKIĆ d.d., with its registered office in Sesvete (City of Zagreb), Ulica 144. brigade Hrvatske vojske 1A, entered in the court register of the Commercial Court in Zagreb under company registration number (MBS): 080313914, tax number (OIB): 74867487620 (hereinafter: the “Issuer”), is commencing the initial public offering of the Offered Shares (the “Offered Shares”) in the manner described in the Issuer’s prospectus in connection with the public offering of 1,200,000 shares and the admission of all the Issuer’s shares to trading on the regulated market as of 26 September 2025 (hereinafter: the “Prospectus”).

The General Assembly of the Issuer, on 7 August 2025, adopted a resolution on the increase of share capital and the issuance of ordinary shares to be subscribed through a public offering. The resolution stipulates that the share capital of the Issuer shall be increased from EUR 22,750,000.00 by up to EUR 7,386,363.64 to a maximum of EUR 30,136,363.64. The share capital increase will be carried out through cash contributions by issuing up to 1,000,000 new ordinary registered shares without nominal value, which will represent the “New Shares.”

Furthermore, the company TOKIĆ - RAST I RAZVOJ d.o.o., with its registered office in Sesvete (City of Zagreb), Ulica 144. brigade Hrvatske vojske 1A, entered in the court register of the Commercial Court in Zagreb under company registration number (MBS): 081283427, tax number (OIB): 56017691333 (the “Selling Shareholder”), has decided that, within the framework of the public offering and under the conditions set out in the Public Invitation, simultaneously with the public offering of the New Shares, it will offer to sell to interested investors up to 200,000 existing shares it holds in the Issuer (the “Sale Shares”).

The New Shares and the Sale Shares are jointly referred to as the “Offered Shares.”

The Croatian Financial Services Supervisory Agency (“HANFA”), by its decision CLASSIFICATION MARK: UP/I 996-02/25-01/06, REGISTRATION NUMBER: 326-01-60-62-25-16 of 26 September 2025, approved the Prospectus to the Issuer. The approval of the Prospectus shall not be considered as an approval of the Shares offered or admitted to trading on the regulated market. Potential investors are advised to read the Prospectus before making an investment decision, in order to fully understand the potential risks and benefits associated with the decision to invest in the Shares.

HANFA has notified the Securities Market Agency of the approval of the Prospectus for the purpose of implementing the employee and qualified investor share offering in the territory of the Republic of Slovenia.

The Issuer informs all interested parties that the full text of the Prospectus has been published on the Issuer’s website, while the Issuer’s Articles of Association and the historical financial information incorporated into the Prospectus by reference are also available on the same site.
